Terms of Service

1. Acceptance of Terms

By creating a Jarvel account, or by accessing or using any Jarvel application or website (together, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you ("User", "you") and Jarvel ("we", "us", "our"). By using the Services, you represent that you have the legal capacity to enter into this agreement. These Terms apply to the entire Jarvel suite. Individual Services may be accompanied by additional service-specific notices; where those conflict with these Terms, the service-specific notice prevails for that Service.

2. The Services

Jarvel is a suite of applications that share a single account (Jarvel ID). The "Services" include, without limitation: • Jarvel Home (jarvel.com), the suite portal and app launcher • Jarvel ID (id.jarvel.com), the shared account, sign-in, and identity service • Jarvel Mail, email, and Jarvel Calendar, events and scheduling • Jarvel Notes, notes and lists • Jarvel Chat, messaging • Jarvel Cloud, file storage and sync • Jarvel Docs, documents and collaboration • Jarvel Social, profiles, posts, and social features • Jarvel Wallet, personal finance features • Jarvel Maps, maps, routes, and places • Supporting services shared across the suite, such as file storage, notifications, and contacts Some Services may be marked as "coming soon", beta, or experimental, and not every Service may be available in your region or on your device. Signing in to one Service with your Jarvel ID does not oblige you to use any other Service.

3. Eligibility & Age Requirements

You must be at least 16 years old to create a Jarvel account, in compliance with the EU General Data Protection Regulation (GDPR). If you are under 16, you may not use the Services. If we become aware that a user is under 16 years of age, we will promptly take steps to delete their account and associated personal data. If you believe a user is under 16, please contact us immediately.

4. Your Account (Jarvel ID)

All Services are used with a single Jarvel ID account. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You must provide accurate, current, and complete information when creating your account and keep it up to date. You agree to: • Not share your account credentials with any third party • Notify us immediately of any unauthorized access to your account • Not create accounts using automated methods • Not use another person's account without explicit permission • Use a strong, unique password for your Jarvel ID account and enable two-factor authentication where available Because one account signs you in to the whole suite, a compromise of your Jarvel ID may affect every connected Service. We reserve the right to suspend or disable accounts that violate these requirements or appear to be compromised. If an organization created your account for you on its own email domain (a company account), that organization manages it: its owners and administrators can reset its password, suspend it, and delete it, and you cannot delete it yourself. Our Privacy Policy describes what organizations can see and do.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not: • Attempt to gain unauthorized access to the Services, other accounts, or connected systems • Interfere with or disrupt the Services, servers, or networks connected to the Services • Use the Services to distribute malware, spam, phishing content, or any illegal material • Probe, scan, or test the vulnerability of the Services without written authorization • Scrape, crawl, or use automated tools to extract data from the Services • Impersonate any person or entity, or falsely state or misrepresent your affiliation • Use the Services to harass, bully, threaten, or defame other people • Circumvent, disable, or otherwise interfere with security or rate-limiting features of the Services • Resell, sublicense, or commercially exploit the Services without our prior written consent • Use the Services to infringe the intellectual property, privacy, or other rights of any third party We reserve the right to investigate violations and take appropriate action, including removing content, applying usage limits, and suspending or terminating accounts.

6. Your Content

The Services let you create, upload, store, send, and share content, for example emails and calendar events, notes, chat messages, files, documents, posts and comments, contacts, wallet records, saved places, profile pictures, display names, and usernames ("Your Content"). You retain ownership of Your Content. We claim no ownership over it. So that we can operate the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, back up, and otherwise process Your Content solely as necessary to provide, secure, and improve the Services, for example syncing files across your devices, rendering document previews, indexing your own content so you can search it, and delivering messages you send. This license ends when Your Content is deleted from the Services, subject to the backup and retention periods described in our Privacy Policy. You represent and warrant that: • You own or have the necessary rights to Your Content • Your Content does not violate any third party's intellectual property, privacy, or other rights • Your Content complies with these Terms and applicable law Sharing is always your choice: content stays private to your account unless you send it, publish it, or invite others to it (for example sending an email, posting on Jarvel Social, or sharing a document or folder). If you give us feedback or suggestions, we may use them without obligation to you.

7. Content Standards & Moderation

There is no tolerance for objectionable content or abusive users. Content that breaks the standards below is removed, and the accounts responsible are suspended or terminated. You may not use the Services to create, store, or share content that: • Is illegal or promotes illegal activity • Sexually exploits or endangers minors in any way (we report such material to the relevant authorities) • Constitutes hate speech or incites violence against any person or group • Harasses, threatens, or defames any person • Infringes intellectual property rights • Contains malware or is designed to deceive, defraud, or phish • Constitutes unsolicited bulk messaging (spam) We do not generally pre-screen private content, and we have no general obligation to monitor it. We may review, restrict, or remove content that is reported to us or that we otherwise become aware of, where we reasonably believe it violates these Terms or applicable law, and we may suspend or terminate the accounts responsible. Where required by law, we will inform you of moderation decisions affecting your content and give you an opportunity to object. Services that carry content from other people give you a way to report it and a way to block the person who sent it. In Jarvel Chat, a message can be reported from its long-press menu, and a person can be reported or blocked from their contact screen. Reports are reviewed by our moderators, and we aim to act on reports of objectionable content within 24 hours.

8. Communications Services (Mail, Chat & Social)

For Services that send or publish communications, such as Jarvel Mail, Jarvel Chat, and Jarvel Social, you additionally agree to: • Not send unsolicited bulk or commercial messages, and comply with applicable anti-spam and marketing laws • Not forge headers, sender identities, or other message metadata • Respect recipients' requests to stop contacting them • Comply with applicable law when recording or sharing communications involving other people To protect the Services and their users, we may apply technical limits (such as sending quotas and rate limits) and automated abuse filtering (such as spam and malware detection). We do not guarantee that any message will be delivered, received, or retained, and email delivered to or from third-party providers is subject to those providers' policies.

9. Files, Storage & Backups

Services that store content, such as Jarvel Cloud, Jarvel Docs, and Jarvel Notes, may be subject to storage quotas and fair-use limits, which we may adjust with reasonable notice. We may refuse or remove content that exceeds your quota after notifying you. We take regular backups and apply industry-standard measures to protect stored content, but no storage service is failure-proof. The Services are not intended to be your only copy of irreplaceable data, and you are responsible for maintaining independent backups of content that is critical to you. Deleted content may remain in backups for a limited period as described in our Privacy Policy before being permanently removed.

10. Wallet & Financial Features

Jarvel Wallet and related features help you track and organize personal finances. Unless we explicitly state otherwise for a specific feature: • Jarvel is not a bank, licensed financial institution, payment service provider, or investment adviser • Information shown in the Services is for your personal organization only and does not constitute financial, investment, tax, or legal advice • You are responsible for the accuracy of financial information you enter and for your own financial decisions • Where payment or financial features are provided together with a regulated partner, that partner's terms apply in addition to these Terms and will be presented to you before you use the feature We may impose limits on financial features and may suspend them where we suspect fraud, abuse, or legal risk.

11. Maps & Location Features

Jarvel Maps and other location features depend on third-party map data, positioning signals, and estimates that can be inaccurate, incomplete, or out of date. Routes, travel times, and place information are provided for general guidance only. Always follow applicable traffic laws, posted signage, and actual road conditions; never interact with the Services while driving. Do not rely on the Services for emergency navigation or for uses where an error could lead to death, personal injury, or environmental damage.

12. Third-Party Applications (Connected Apps)

Jarvel ID allows you to sign in to third-party applications ("Connected Apps") using your account via the OAuth 2.0 protocol. When you authorize a Connected App, you grant it access to specific account information as described on the consent screen. You understand and agree that: • You can review and revoke Connected App permissions at any time from your account settings • We are not responsible for the privacy practices, data handling, or content of Connected Apps that are not operated by Jarvel • Connected Apps are governed by their own terms of service and privacy policies • Revoking access to a Connected App does not delete data already shared with that app • We may notify Connected Apps when you update your profile, delete your account, or revoke access via webhooks

13. Beta, Preview & Experimental Features

We may make beta, preview, "coming soon", or experimental features and Services available. These are provided for evaluation, may be changed, suspended, or discontinued at any time without notice, may be less reliable than generally available Services, and may not be covered by support commitments. Do not use beta features for critical data without an independent backup.

14. Fees & Payments

The Services are currently free to start using. We may introduce paid plans, features, or usage-based charges in the future. If we do: • Pricing will be communicated clearly before you incur any charge, and no free Service you already use will silently become paid • Recurring subscriptions, if any, will state their price, billing period, and cancellation terms up front, and you will be able to cancel at any time with effect from the end of the billing period • Taxes may be added where required by law • Statutory withdrawal and refund rights for EU consumers remain unaffected Where payments are processed by third-party payment providers, their terms apply to the payment transaction in addition to these Terms.

15. Privacy & Data Protection

Your privacy is central to how the suite is designed: each Jarvel app keeps its own data, and data moves between apps only when you link them. How we collect, use, protect, and share personal data, and the rights you have over it, is described in our Privacy Policy, available at jarvel.com/privacy. The Privacy Policy forms part of the agreement between you and us.

16. Intellectual Property

The Services, including their design, code, logos, trademarks, and documentation, are owned by Jarvel or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the applications we make available, solely to use the Services as intended. You may not copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract their source code, except to the extent permitted by mandatory law or by an applicable open-source license. Open-source components included in the Services are governed by their own licenses. Nothing in these Terms grants you any right to use our trademarks, trade names, or brand features without prior written consent. You retain all rights to your personal data and Your Content.

17. Copyright & Infringement Claims

We respect intellectual property rights and expect users to do the same. If you believe content on the Services infringes your copyright or other rights, notify us at info@jarvel.com with: • Identification of the protected work and of the allegedly infringing content (including its location) • Your contact details • A statement, made in good faith, that the use is not authorized by the rights holder, their agent, or the law • A statement that the information in your notice is accurate and that you are the rights holder or authorized to act for them We will review valid notices, remove or disable access to infringing content where appropriate, and inform the user who posted it, who may submit a counter-notice. We may terminate the accounts of repeat infringers.

18. Service Availability & Modifications

We strive to maintain high availability of the Services, but we do not guarantee uninterrupted or error-free access. The Services may be temporarily unavailable due to: • Scheduled maintenance (we will provide advance notice when possible) • Unplanned outages or technical issues • Circumstances beyond our reasonable control We are continuously developing the suite and may modify features, add or remove Services, or impose or change technical limits. Where a change materially reduces a Service you actively use, we will give you reasonable advance notice where practicable and, where the change is to your significant detriment, you may terminate your use of that Service. If we discontinue a Service entirely, we will give you a reasonable opportunity to export your content before it is deleted.

19. Suspension & Termination

You may stop using any Service at any time, and you may delete your Jarvel account at any time from your Jarvel ID account settings (a company account is deleted by the organization that manages it). Upon deletion: • Your account enters a 30-day grace period during which you can recover it • After the grace period, your personal data is permanently and irreversibly deleted across the connected Jarvel apps • Connected Apps are notified of the account deletion via webhooks • Security and audit logs are kept for the periods set out in our Privacy Policy We may suspend or terminate your account, or your access to specific Services, if: • You materially or repeatedly violate these Terms • Your account appears to be compromised • Required by law or a valid legal order • Your account has been inactive for an extended period (we will notify you first) Unless we are legally prevented from doing so or your violation makes it inappropriate, we will notify you before or promptly after suspending or terminating your account, and give you an opportunity to export your content. Sections of these Terms that by their nature should survive termination (including Sections 6, 16, and 20 through 27) survive.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that content will never be lost. If you are a consumer in the European Union, you have statutory rights regarding the conformity of digital services, and nothing in this section limits those rights.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Jarvel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, regardless of the theory of liability. Our total aggregate liability for all claims related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater. Nothing in these Terms limits or excludes liability that cannot be limited or excluded by applicable law, including liability for death or personal injury caused by negligence, or for fraud, intent, or gross negligence. If you are a consumer, mandatory consumer protection law of your country of residence remains unaffected.

22. Indemnification

You agree to indemnify, defend, and hold harmless Jarvel, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: • Your use of the Services in violation of these Terms • Your violation of any third party's rights • Your Content, to the extent you did not have the right to use or share it This obligation does not apply to the extent a claim results from our own breach of these Terms or applicable law, and it does not limit any mandatory consumer rights. This indemnification obligation survives the termination of your account and these Terms.

23. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or the Services, both parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts as specified in the Governing Law section. For consumers in the European Union, nothing in this section limits your right to bring proceedings before the courts of your country of residence. EU residents may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands and applicable European Union law, without regard to conflict of law principles. If you are a consumer residing in the EU, you benefit from any mandatory provisions of the law of your country of residence that cannot be derogated from by agreement. Nothing in these Terms affects your rights as a consumer under applicable EU consumer protection legislation.

25. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the affected party's reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, power outages, or internet infrastructure failures. If a force majeure event continues for more than 90 days, either party may terminate these Terms upon written notice.

26. Changes to These Terms

We may update these Terms of Service from time to time, for example when we add new Services or when the law changes. When we make material changes, we will: • Update the "Last updated" date at the top of this page • Notify you through the Services or by email at least 30 days before the changes take effect • Give you the opportunity to review the changes before they become binding Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Services and delete your account.

27. Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. Entire agreement: These Terms, together with the Privacy Policy and any service-specific notices, constitute the entire agreement between you and Jarvel regarding the Services. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, in which case we will notify you. No waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Language: These Terms are provided in English. Where we provide translations for convenience, the English version prevails to the extent permitted by applicable law.
